These Terms of Service (“Terms”) govern your use of https://tonicenterprises.co (the “Site”), which is operated by Tonic Enterprises, LLC (“Tonic Enterprises,” “Tonic,” “we,” “us,” or “our”). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.
Using the Site
You may use the Site to learn about Tonic Enterprises, read our content, contact us, and book a call. You must be at least 18 years old to use the Site or submit information through it. When you use the Site, you agree not to:
- break any law or regulation
- submit false, misleading, or someone else’s information
- send spam, malware, or harmful code, or try to disrupt the Site
- try to gain unauthorized access to the Site, our systems, or other users’ information
- scrape, copy, or collect Site content or data with automated tools without our written permission
- use the Site in any way that could harm Tonic, our clients, or other users
We may suspend or block access to the Site for anyone who violates these Terms.
Intellectual Property
The Site and everything on it, including text, graphics, logos, images, videos, case studies, guides, and the way it is all arranged, is owned by Tonic Enterprises or our licensors and is protected by copyright and other intellectual property laws. Third-party names and logos that appear on the Site belong to their respective owners.
You may view and print pages from the Site for your own personal or internal business use. You may not copy, republish, sell, modify, or distribute our content without our written permission. You may share links to our pages and short quotes with credit to Tonic Enterprises.
If you send us ideas, feedback, or suggestions, we may use them without any obligation to you.
Site Content Is for Information Only
The articles, guides, checklists, and other content on the Site are for general information only. They are not legal, financial, tax, or professional advice for your specific situation. Search engines, AI platforms, and marketing rules change often, so some content may be out of date. Talk with us or another qualified professional before making decisions based on what you read here.
No Guarantee of Rankings or Results
We work hard to improve our clients’ visibility and results, but we do not guarantee any specific ranking, traffic level, lead count, review rating, or revenue result.
- SEO and AI visibility. Search rankings and AI visibility depend on search engines, AI assistants, and AI-generated search results that Tonic does not own or control. These platforms change their algorithms, policies, and features without notice.
- GBP and reputation management. GBP listings and review platforms are controlled by the companies that run them, including which reviews are shown, filtered, or removed. We cannot guarantee that any listing will rank or stay verified, or that any review will be removed.
- Paid ads. Ad results depend on budgets, competition, and ad platform rules that we do not control.
- Past results. Case studies, testimonials, and examples on the Site show results for specific clients. They are not typical, and they are not a promise of what your business will achieve.
Our Services Are Covered by a Separate Agreement
The Site describes our services, but it is not an offer or a contract for services. Any work Tonic does for you is governed by a separate written agreement signed by you and Tonic (a “Service Agreement”). The Service Agreement sets the scope of work, fees, payment terms, deliverables, and other terms of the engagement.
Our managed services run on 6-month or 12-month agreements, under the terms of the Service Agreement. Renewal, cancellation, and any other term details are set out in that agreement.
Order of precedence. If a signed Service Agreement conflicts with these Terms, the Service Agreement controls.
Third-Party Links and Tools
The Site may link to or use third-party websites, platforms, and tools, such as map services, third-party scheduling tools, social media sites, and the live chat feature on the Site. We do not control those services and are not responsible for their content, policies, availability, or actions. Your use of them is subject to their own terms and privacy policies. A link does not mean we endorse the site or its owner.
Privacy
Our Privacy Policy explains how we collect and use information when you use the Site. By using the Site, you also agree to the Privacy Policy.
Disclaimers
THE SITE AND ALL CONTENT ON IT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT ALLOWED BY LAW, TONIC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We do not promise that the Site will always be available, error free, secure, or free of viruses or other harmful components.
Limitation of Liability
TO THE FULLEST EXTENT ALLOWED BY LAW, TONIC AND ITS OWNERS, EMPLOYEES, CONTRACTORS, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR ITS CONTENT, EVEN IF WE WERE TOLD THESE DAMAGES WERE POSSIBLE.
For claims related to your use of the Site, our total liability to you will not be more than the greater of (a) the amount you paid Tonic in the 12 months before the claim, or (b) $100. This limit applies to website use only. If you have a signed Service Agreement, that agreement’s own liability terms apply to claims about our services. Some states do not allow certain limits on liability, so some of these limits may not apply to you.
Indemnity
You agree to defend, indemnify, and hold harmless Tonic and its owners, employees, contractors, and partners from any claims, losses, damages, and costs (including reasonable attorneys’ fees) that come from your misuse of the Site, your violation of these Terms, or your violation of anyone else’s rights.
Governing Law, Venue, and Jury Trial Waiver
These Terms are governed by the laws of the State of Florida, without regard to its conflict of law rules. Any dispute related to these Terms or the Site will be brought only in the Florida state courts located in Seminole County, Florida, and you and Tonic agree to the jurisdiction of those courts.
JURY TRIAL WAIVER. TO THE FULLEST EXTENT ALLOWED BY LAW, YOU AND TONIC EACH KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY DISPUTE RELATED TO THESE TERMS OR THE SITE.
General Terms
If any part of these Terms is found to be unenforceable, the rest will stay in effect. Our failure to enforce any part of these Terms is not a waiver of our right to do so later. These Terms, together with our Privacy Policy and any Service Agreement you sign with us, are the entire agreement between you and Tonic about the Site.
Changes to These Terms
We may update these Terms from time to time. When we do, we will change the effective date at the top of this page. Changes take effect when they are posted. Your continued use of the Site after an update means you accept the revised Terms.
